Terms of Service

1. General Provisions

These Terms of Service (hereinafter referred to as the "Terms") govern access to and use of the EuropaTech investment platform (hereinafter referred to as the "Platform"), available at europa-tech.org.

The Platform is operated by EUROPA TECH ENTERPRISE S.R.L., a company incorporated under the laws of Italy (hereinafter referred to as the "Company", "we", "us"). The Company acts solely as a technology intermediary, providing the digital infrastructure for collective real estate investment. The Company does not provide investment advice, portfolio management, or financial advisory services.

If you do not agree with any provision of these Terms, please discontinue use of the Platform.

2. Definitions

  • "User" — an individual who has registered on the Platform.
  • "Investor" — a User who makes investments through the Platform.
  • "Property" — a real estate object or investment asset listed on the Platform.
  • "Digital Share" — a tokenized record (ERC-1155 on Base L2) representing the holder's contractual right to receive a proportional share of net rental income generated by a Property. A Digital Share does not constitute equity ownership, voting rights in the property-owning entity, or a claim on the underlying real estate asset itself.
  • "Dashboard" — a User's personal section on the Platform.

3. Registration and Account

Registration is required to use the Platform's features. During registration, you agree to provide accurate, current, and complete information.

You are responsible for maintaining the security of your account credentials. Any actions performed through your account are considered yours.

Identity verification and related onboarding controls may be required before certain investment activities or financial features where legally necessary and operationally enabled. Any active requirements will be disclosed in the relevant product documentation or checkout flow before payment confirmation.

The Company reserves the right to refuse registration or block an account without explanation if a violation of these Terms is suspected.

4. Investment Activities

The Platform provides opportunities for collective investment in real estate properties through the purchase of Digital Shares. Each Digital Share represents a contractual right to receive proportional net rental income from the corresponding Property — it does not constitute equity, securities, or direct property ownership.

The minimum investment amount, conditions, and projected returns are specified on each Property's Investment Memorandum. Investors must accept the Investment Memorandum before each purchase.

Share acquisition is finalized upon payment confirmation. From that point, the Investor acquires the income rights specified in the particular Property's Investment Memorandum. Additional eligibility, onboarding, and transaction controls may apply based on the Platform's legal and operational requirements.

An Investor may sell or transfer their Digital Share through the Platform's P2P marketplace in accordance with established rules. Liquidity is not guaranteed — the ability to sell depends on buyer availability.

5. Investment Risks

Investing involves risks, including but not limited to:

  • Risk of property value depreciation
  • Risk of reduced or lost rental income
  • Liquidity risk — inability to quickly sell a share
  • Macroeconomic and market risks
  • Regulatory and legal risks

Past performance does not guarantee future returns. You invest at your own risk.

The Company is not liable for losses incurred as a result of investment activities.

5b. Crypto-Assets & MiCA Regulatory Background

The Platform utilizes blockchain technology (Base network, Ethereum Layer 2) for tokenization of property shares (ERC-1155) and the EURT utility token (ERC-20).

In view of the EU Markets in Crypto-Assets Regulation (MiCA), Regulation (EU) 2023/1114, as the Company prepares for potential authorization, the following risks and disclosures apply:

  • EURT is the internal platform currency token used within the Platform ecosystem. Its legal characterization under MiCA (EU 2023/1114) remains under formal review with professional advisers. EURT is not presented here as a publicly available investment product.
  • Property share tokens (ERC-1155) represent a digital record of contractual participation in property-related income flows. Their value is linked to the underlying real estate asset and is not guaranteed.
  • Blockchain transactions are irreversible. Errors in wallet addresses or transaction parameters cannot be corrected by the Platform.
  • You are solely responsible for the security of your wallet, private keys, and seed phrases. The Platform cannot recover lost or compromised wallets.
  • Smart contract risks exist, including potential vulnerabilities, network congestion, and gas fee fluctuations on the Base network.
  • Decentralized exchange (DEX) operations are provided by third-party protocols and are outside the Platform's control. Slippage, impermanent loss, and counterparty risks may apply.

The Platform is implementing AML/CFT controls in line with AMLD5/6 requirements. Suspicious activity reports (SARs) may be filed where required under D.Lgs. 231/2007. Suspicious activity may result in account restrictions.

The regulatory status of crypto-assets may change. Users are responsible for understanding the legal implications in their jurisdiction.

In accordance with Regulation (EU) 2023/1113 on information accompanying transfers of funds and certain crypto-assets (Travel Rule), the Platform is preparing to collect and transmit originator and beneficiary information for crypto-asset transfers exceeding EUR 1,000.

The Company maintains a public White Paper describing the EURT utility token and the tokenized property share framework for transparency and investor review. The White Paper is available at europa-tech.org/whitepaper.

6. Payments and Financial Terms

Investment payments are processed through payment systems integrated with the Platform (Stripe and others).

All prices are displayed in the currency specified for each Property. Fees and charges, if applicable, are disclosed prior to payment confirmation.

Refunds after an investment is completed are only available in cases provided by applicable law.

The User is solely responsible for paying taxes related to investment income in accordance with the laws of their jurisdiction.

7. User Responsibilities

The User agrees to:

  • Provide accurate information during registration and verification
  • Not use the Platform for illegal purposes
  • Not disrupt Platform operations or attempt unauthorized access
  • Not share account credentials with third parties
  • Independently assess investment risks before making decisions
  • Comply with applicable legislation

8. Limitation of Liability

The Platform is provided "as is" without any warranties, express or implied.

The Company shall not be liable for:

  • Losses resulting from the User's investment decisions
  • Platform outages caused by technical reasons or force majeure
  • Actions of third parties, including payment systems and partners
  • Data loss due to reasons beyond the Company's control

The Company's aggregate liability for any claims is limited to the fees actually paid by the User in the preceding 12 months.

Data Protection Rights (GDPR Art. 15–21)

Under the General Data Protection Regulation (EU) 2016/679, you have the following rights with respect to your personal data:

  • Right of access (Art. 15) — obtain confirmation of whether your data is processed and request a copy
  • Right to rectification (Art. 16) — correct inaccurate or incomplete personal data
  • Right to erasure (Art. 17) — request deletion of your data ("right to be forgotten")
  • Right to restriction (Art. 18) — restrict processing in certain circumstances
  • Right to data portability (Art. 20) — receive your data in a structured, machine-readable format
  • Right to object (Art. 21) — object to processing based on legitimate interests or direct marketing

9. Intellectual Property

All Platform materials, including design, text, graphics, logos, and source code, are the intellectual property of the Company or its licensors.

Use of Platform materials beyond personal non-commercial use is prohibited without the Company's written consent.

10. Termination of Access

The Company may suspend or terminate a User's access to the Platform in case of violation of these Terms.

A User may delete their account at any time. Account deletion does not release the User from obligations incurred prior to deletion.

11. Changes to Terms

The Company may modify these Terms at any time. Users will be notified of changes via email or Platform notifications.

Continued use of the Platform after Terms are modified constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Italian Republic. The Platform operator is subject to Italian corporate law and applicable EU regulations, including GDPR (Regulation (EU) 2016/679), and is monitoring MiCA (Regulation (EU) 2023/1114) applicability, preparing for potential authorization. AML/CFT controls, record-keeping, and any mandatory reporting are handled in accordance with the Italian legal framework and other applicable law.

Disputes arising in connection with the use of the Platform shall be resolved through negotiation. If agreement cannot be reached, disputes shall be submitted to the competent courts of Italy. For EU consumers, mandatory consumer protection provisions of their country of residence shall apply where required by law.
