This Risk Disclosure Statement is prepared in line with EU MiCA disclosure format requirements and must be read in full before making any investment on the EuropaTech platform.

1. General Warning

Investing in real estate through digital shares involves significant risks. You may lose some or all of your invested capital. Past performance of any property or asset does not guarantee future returns.

EuropaTech does not provide investment advice. All investment decisions are made solely by the investor. You should consult a qualified financial advisor before investing.

2. Real Estate Risks

Property values may decrease due to market conditions, economic downturns, changes in local regulations, natural disasters, or deterioration of the property or its location.

Rental income is variable and depends on occupancy rates, seasonal demand, tenant reliability, maintenance costs, and local market conditions. Income may be lower than projected or may cease entirely.

Properties may require unexpected capital expenditures for repairs, regulatory compliance, or modernization that reduce net income.

3. Liquidity Risk

Digital Shares are not listed on any regulated exchange. Any sale or transfer path depends on a resale flow being legally and operationally enabled for the relevant product.

There is no guarantee that a buyer will be available at the desired price or at any price. You may be unable to exit your investment for an extended period.

The Platform reserves the right to restrict, suspend, or decline resale-flow activity during periods of extreme price volatility, suspicious activity, legal uncertainty, or operational risk.

4. Blockchain & Smart Contract Risks

Digital Shares are recorded on the Base network (Ethereum Layer 2). Blockchain transactions are irreversible — errors in wallet addresses or transaction amounts cannot be corrected.

Smart contracts, while audited, may contain undiscovered vulnerabilities. Network congestion, hard forks, or protocol changes on Base/Ethereum may affect the availability or value of your assets.

You are solely responsible for the security of your wallet credentials, private keys, and seed phrases. The Platform cannot recover lost or stolen wallet access.

5. Regulatory & Tax Risks

The regulatory environment for crypto-assets and tokenized securities is evolving. Changes in EU, Italian, or your local jurisdiction's laws may affect the Platform's operations, your rights, or the tax treatment of your investments.

You are solely responsible for understanding and complying with the tax obligations in your jurisdiction. The Platform provides tax reporting tools but does not provide tax advice.

EURT is the internal platform accounting token. Its regulatory classification remains under formal legal review. The Company may adjust product access, controls, and disclosures once that review is complete or supervisory expectations change.

6. Counterparty & Platform Risk

While the Platform implements comprehensive security measures (encryption, 2FA, regular audits), no system is completely immune to cyber attacks, data breaches, or operational failures.

The Company's financial health may affect its ability to operate the Platform. In the event of insolvency, your Digital Shares remain recorded on the blockchain but Platform services, including any enabled distribution or resale-flow support, may be interrupted.

By investing through the Platform, you confirm that:

  • You have read and understood this Risk Disclosure Statement in full
  • You understand that you may lose some or all of your invested capital
  • You are investing only funds that you can afford to lose
  • You have not relied on any statement by the Platform as investment advice
  • You understand that past performance does not guarantee future results
  • You accept full responsibility for your investment decisions
